Unc Technologies is a software-as-a-service ("SaaS") company that builds and delivers digital products for businesses, including but not limited to smart websites and chatbots. Our product offerings may change, expand, or be updated over time, and these Terms apply to all current and future Services offered under the Unc Technologies brand, unless a specific product has its own supplementary terms, in which case both apply (with the supplementary terms controlling in case of conflict).

2. Eligibility
To use our Services, you must:
- Be at least 18 years old, or the age of majority in your jurisdiction;
- Have the legal authority to enter into a binding agreement, whether on your own behalf or on behalf of a business entity; and
- Not be barred from using the Services under applicable law.
3. Accounts
3.1 To access certain Services, you may need to create an account. You agree to provide accurate, current, and complete information and to keep this information up to date.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.3 You must notify us immediately of any unauthorized use of your account or any other breach of security.
4. Our Services
4.1 Unc Technologies provides SaaS-based digital products and services. The specific features, functionality, and scope of each product will be described at the point of sale, in a product-specific order form, statement of work, or product description ("Order Form").
4.2 As a growing company, our product catalog may expand, change, or be discontinued at our discretion. We will make reasonable efforts to notify active customers of material changes to a Service they are actively using.
4.3 We reserve the right to modify, suspend, or discontinue any part of the Services (or the Services as a whole) at any time, with or without notice, though we will act reasonably and provide notice where practicable for paid, active subscriptions.
5. Fees and Payment
5.1 Fees for our Services are set out in the applicable Order Form, pricing page, or invoice.
5.2 Unless otherwise stated, fees are billed in advance on a recurring basis (e.g., monthly or annually) for subscription-based Services, or as otherwise agreed for project-based or custom Services.
5.3 All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes, duties, or levies associated with your purchase, other than taxes based on our net income.
5.4 Late or failed payments may result in suspension or termination of access to the Services, subject to any notice period specified in your Order Form.
5.5 We reserve the right to change our pricing. For active subscriptions, we will provide at least 30 days' notice before a price change takes effect.
6. Refunds and Cancellations
Refunds, if any, are governed by our separate Refund Policy, which is incorporated into these Terms by reference.
7. Delivery of Services
For Services that involve delivery, deployment, onboarding, or setup (such as launching a smart website or deploying a chatbot), delivery timelines and processes are governed by our separate Shipping and Delivery Policy, which is incorporated into these Terms by reference.
8. Customer Responsibilities
You agree to:
- Provide accurate information, content, and access necessary for us to deliver the Services (e.g., branding assets, business information, integration credentials);
- Use the Services in compliance with all applicable laws and regulations;
- Not use the Services to transmit unlawful, harmful, defamatory, obscene, or infringing content;
- Not attempt to reverse-engineer, decompile, resell, or misuse our software or underlying technology; and
- Not use the Services to build a directly competing product without our prior written consent.
9. Intellectual Property
9.1 We retain all right, title, and interest in and to the Services, including all underlying software, technology, templates, designs, and documentation. Nothing in these Terms transfers ownership of our intellectual property to you.
9.2 Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
9.3 You retain ownership of any content, data, or materials you upload or provide to us ("Customer Content"). You grant us a license to use, host, and process Customer Content solely as necessary to provide the Services.
10. Third-Party Services
Our Services may integrate with or rely on third-party tools, platforms, or APIs (e.g., hosting providers, messaging platforms, payment processors). We are not responsible for the availability, performance, or practices of third-party services outside our control.
11. Confidentiality
Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, and not to disclose it to third parties except as necessary to perform under these Terms or as required by law.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
13. Limitation of Liability
13.1 To the maximum extent permitted by law, Unc Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services.
13.2 Our total aggregate liability arising out of or related to these Terms or the Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
13.3 Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., liability for gross negligence, willful misconduct, or fraud, where applicable).
14. Indemnification
You agree to indemnify and hold harmless Unc Technologies, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Services or violation of these Terms.
15. Term and Termination
15.1 These Terms remain in effect for as long as you use the Services.
15.2 We may suspend or terminate your access to the Services if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe is harmful to us, other customers, or third parties.
15.3 You may cancel your subscription at any time in accordance with the cancellation process described in your Order Form or account settings.
15.4 Upon termination, your right to access the Services will cease, though provisions that by their nature should survive (e.g., intellectual property, confidentiality, limitation of liability) will continue to apply.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of South Africa, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts within the jurisdiction of South Africa, unless otherwise required by applicable law.
18. General Provisions
- Entire Agreement: These Terms, together with any applicable Order Form and our Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and Unc Technologies.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce a right or provision is not a waiver of that right.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
